Acceptable Use Policy

This Acceptable Use Policy ("AUP") describes prohibited uses of the Orthogonal platform, APIs, website, documentation, and related services (collectively, the "Services") operated by Orth Inc., a Delaware corporation doing business as Orthogonal ("Orthogonal," "we," "us," or "our"). This AUP is incorporated into and forms part of our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.
By accessing or using the Services, you agree to comply with this AUP. It applies to you, anyone acting on your behalf, and any AI agent, automation, or end user that accesses the Services through your account or API keys. You are responsible for the activity conducted through your account.
1. General Principles
Orthogonal provides a unified gateway that routes requests from you and your AI agents to third-party API providers. Because your activity reaches external providers and their end users, you must use the Services lawfully, responsibly, and in a way that does not harm Orthogonal, our providers, other customers, or the public. 2. Prohibited Activities
You may not use the Services to, or to enable any third party or AI agent to:
- Violate any applicable law, regulation, sanction, or court order, or infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any party;
- Engage in fraud, deception, phishing, social engineering, impersonation, or any activity intended to mislead others or obtain something of value under false pretenses;
- Distribute malware, ransomware, viruses, or other malicious or destructive code, or stage attacks (including command-and-control infrastructure) against any system;
- Attempt to gain unauthorized access to any system, account, network, or data, or probe, scan, or test the vulnerability of any system without authorization;
- Interfere with or disrupt the integrity or performance of the Services or any connected third-party provider, including through denial-of-service attacks, flooding, or excessive automated requests;
- Circumvent or attempt to circumvent rate limits, usage quotas, billing, authentication, or any security or access-control measure;
- Reverse engineer, decompile, or disassemble the Services, or use the Services to build a competing product or to train a model that competes with Orthogonal;
- Resell, sublicense, or redistribute access to the Services, or share API keys or credentials, except as expressly authorized in writing;
- Scrape, harvest, or collect data from the Services or third-party providers beyond what is returned through normal, authorized API usage;
- Misrepresent the source, origin, or authenticity of content, or fail to disclose the use of AI where disclosure is required by law.
3. Prohibited Content
You may not use the Services to generate, transmit, store, or distribute content that:
- Exploits, sexualizes, or endangers minors, including any child sexual abuse material (CSAM);
- Is unlawful, defamatory, harassing, abusive, threatening, or that incites or promotes violence, self-harm, or terrorism;
- Promotes hatred or discrimination against individuals or groups based on protected characteristics;
- Facilitates the creation of weapons, explosives, illegal drugs, or other goods or activities prohibited by law;
- Constitutes spam, chain messages, or unsolicited bulk communications;
- Contains another person's sensitive personal, financial, or health information without a lawful basis and proper authorization.
4. High-Risk Use Cases
The Services and the outputs of third-party APIs are not designed or warranted for use in circumstances where failure or inaccuracy could lead to death, personal injury, or severe property or environmental damage. You may not rely on the Services as the sole basis for decisions in high-risk domains—such as medical diagnosis or treatment, legal or financial advice, emergency services, or the operation of critical infrastructure—without appropriate human review and independent safeguards.
5. Messaging, SMS, and Voice Communications
Certain Services let you send SMS messages, emails, and voice communications through third-party providers. When using these features you must comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and carrier and provider messaging policies.
You represent and warrant that you have obtained valid prior consent from every recipient before contacting them through the Services. Outbound messages must accurately identify the sender and include clear opt-out instructions. We honor opt-out keywords (such as STOP, UNSUBSCRIBE, CANCEL, END, and QUIT) and maintain suppression lists; you must not circumvent opt-out requests or message opted-out recipients. Spam, phishing, unsolicited marketing, and messages promoting illegal products or services are prohibited.
6. AI Agents and Automated Use
The Services are designed to be operated by AI agents and automated systems. You remain fully responsible for the actions any agent takes through your account, including the requests it issues, the funds it spends, and the content it generates or transmits. You must implement reasonable controls—such as spending limits, scope restrictions, and monitoring—to prevent your agents from engaging in any activity prohibited by this AUP.
7. Third-Party Provider Policies
When you call an API through Orthogonal, your request is routed to a third-party provider that may impose its own terms, acceptable use policies, and content restrictions. You are responsible for reviewing and complying with the policies of any provider you use. A use that is permitted under this AUP may still be prohibited by an individual provider, and provider restrictions apply in addition to this AUP.
8. Usage Limits and Fair Access
We may impose rate limits, usage quotas, or other restrictions to protect platform stability and ensure fair access for all customers. You must not take any action that imposes an unreasonable or disproportionately large load on the Services or on connected providers, and you must not artificially inflate usage or engage in activity designed to manipulate billing, credits, or promotional offers.
9. Reporting Violations
If you become aware of any violation of this AUP, or of any security vulnerability, abuse, or misuse of the Services, please report it promptly to founders@orthogonal.com. We investigate credible reports and appreciate responsible disclosure.
10. Enforcement
We may investigate suspected violations of this AUP and take any action we deem appropriate, including removing or disabling access to content, throttling or suspending API access, and suspending or terminating your account. Where we believe immediate action is necessary to protect the platform, our providers, other customers, or the public—or where required by law—we may act without prior notice. We may also cooperate with law enforcement and disclose information as permitted under our Privacy Policy and applicable law. Our decision not to enforce any provision of this AUP in a particular instance does not waive our right to enforce it later.
11. Changes to This Policy
We may update this AUP from time to time to reflect changes in our Services, legal requirements, or provider policies. For material changes, we will provide notice through the Services or by email before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated AUP.
